1. The service
Omnilytics, Inc. (“Omnilytics”) provides Document AI, Identity AI, and Security AI APIs (the “Service”) to business customers. These Terms of Service (“Terms”) form a binding agreement between you and Omnilytics.
2. Accounts
You must be at least 18 years old and authorized to bind your organization. You are responsible for maintaining the confidentiality of your API keys and for all activity on your account. Notify us promptly at security@omnilytics.ai of any unauthorized use.
3. Acceptable use
You agree not to use the Service:
- For unlawful, deceptive, or harmful purposes
- To target individuals based on protected characteristics in violation of applicable law
- To reverse-engineer, scrape, or attempt to reconstruct our models
- To exceed rate limits or otherwise impair the integrity of the Service
4. Fees
You agree to pay the fees described on our pricing page or in your order form. Fees are billed in advance and are non-refundable except as required by law. We may change pricing with at least 30 days' notice.
5. Data
You retain ownership of all data you submit to the Service. You grant us a limited license to process that data solely to provide and improve the Service in accordance with our Privacy Policy and Data Processing Agreement (DPA). For Enterprise customers, the DPA is incorporated by reference into the order form.
6. Confidentiality
Each party agrees to protect the other's confidential information with at least the same degree of care it uses for its own, and never less than a reasonable degree of care.
7. Warranties and disclaimers
We will provide the Service in accordance with our applicable SLA. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
9. Termination
Either party may terminate these Terms for material breach if the other party fails to cure the breach within 30 days of written notice. Upon termination, your right to use the Service ends, and we will delete your data in accordance with our retention policy.
10. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware.
